Terms of Service

1. Acceptance of Terms

By accessing and using RudiPost (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms apply to all users of RudiPost, including but not limited to browsers, customers, vendors, and contributors. By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms in your jurisdiction.

2. Definitions

For clarity in these Terms:

• "RudiPost" means the Service, platform, website, and all related features, content, and services provided by The WILD Axis Group.
• "User" means any individual or entity that creates an account and uses RudiPost.
• "Account" means your unique profile created on RudiPost linked to your email address.
• "Content" means all images, captions, text, and materials generated, posted, or displayed through the Service.
• "AI-Generated Content" means images and text created by artificial intelligence (specifically OpenAI models) using prompts and parameters you provide.
• "Social Media Accounts" means your accounts on third-party platforms (TikTok, Instagram, LinkedIn, Facebook, etc.) connected via OAuth.
• "OAuth Token" means authentication credentials that allow RudiPost to access your Social Media Accounts.
• "Personal Data" means any information relating to an identified or identifiable natural person.

3. Eligibility and Age Requirements

3.1 Minimum Age

RudiPost is intended for users who are 18 years of age or older. By using the Service, you confirm that you are at least 18 years old and meet all eligibility requirements in your jurisdiction.

We do not knowingly collect information from users under 18. If we discover that a user is under 18, we will suspend or terminate their account immediately and delete any associated Personal Data (except where legal retention is required).

3.2 Business Use

RudiPost is designed for business users, particularly those in the logistics and distribution sectors. You represent that you are authorized to enter into these Terms on behalf of your business and that the business use complies with all applicable laws and regulations.

4. Account Registration and Management

4.1 Registration Requirements

To access RudiPost, you must create an account by providing:

• A valid email address
• Your name (as the account holder)
• A password (which you maintain responsibility for)
• Business details (business name, location, type)

You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your password and for any activities that occur under your account.

4.2 Account Security

You agree to:

• Use a strong password and change it regularly
• Never share your password or account credentials with third parties
• Immediately notify us of any unauthorized access or security breach
• Ensure your email address remains current and monitored
• Log out of your account when using shared devices

RudiPost is not responsible for any loss or damage arising from unauthorized access to your account caused by your failure to maintain account security.

4.3 Account Termination by User

You may request account deletion at any time by contacting hello@rudipost.com. Upon termination, we will deactivate your account and delete your Personal Data within 30 days, except where legal retention obligations apply.

5. Service Description

5.1 Overview

RudiPost is an AI-powered social media content generation and posting platform. The Service enables users to:

• Generate AI-created images using OpenAI's image generation models
• Generate AI-written captions and text content using OpenAI's language models
• Create carousel-style posts combining multiple images and captions
• Automatically post this content to connected Social Media Accounts (TikTok, and others as supported)
• Track and analyze post performance metrics
• Manage multiple Social Media Accounts from a single dashboard

5.2 Service Availability

We aim to maintain 99% uptime, but cannot guarantee uninterrupted service. RudiPost may be subject to:

• Scheduled maintenance (with 48-hour notice where practical)
• Emergency maintenance or security patches
• Temporary service interruptions due to technical issues
• Suspensions due to violation of these Terms

We are not liable for any damages or losses resulting from service interruptions beyond our control.

5.3 Service Tiers

RudiPost may offer free and paid service tiers. Terms for paid tiers, including pricing and features, will be disclosed separately and are subject to the Payment and Billing section below.

6. OAuth Authorization and Social Media Connection

6.1 OAuth Authorization

RudiPost uses OAuth 2.0 to securely connect your Social Media Accounts. When you authorize RudiPost to access your account on a Social Media Platform, you are granting us permission to:

• Create posts on your behalf
• Access information about your account (followers, analytics, etc.)
• Manage content scheduling and publishing
• Retrieve performance data for analytics purposes

You understand that OAuth tokens are stored securely on our servers and used only for the purposes specified in our Privacy Policy.

6.2 Token Revocation

You may revoke RudiPost's access to your Social Media Account at any time by:

• Disconnecting the account in your RudiPost settings
• Revoking authorization through the Social Media Platform's app management settings

Upon revocation, we will cease posting new content to that account and will delete the OAuth token within 48 hours. Previously posted content will remain on your Social Media Account.

6.3 Third-Party Terms

Your use of Social Media Platforms is governed by their Terms of Service and Privacy Policies. RudiPost is not responsible for your compliance with those terms or for any actions taken by Social Media Platforms regarding your account.

7. AI-Generated Content

7.1 AI Content Generation

Content generated by RudiPost's AI models (images via OpenAI, text via OpenAI) is created based on prompts you provide. You acknowledge that:

• AI-generated content may be unique, but RudiPost does not guarantee originality
• OpenAI's terms apply to content generated using their models (see OpenAI's Terms)
• You are responsible for reviewing and approving AI-generated content before posting
• RudiPost is not liable for inaccurate, misleading, or problematic AI-generated content

7.2 Content Ownership

Subject to OpenAI's terms and conditions:

• You own the AI-generated content created through your use of RudiPost
• You grant RudiPost a limited license to store and process this content for service delivery
• You may use AI-generated content for any lawful purpose, including commercial use

However, you are solely responsible for ensuring that generated content does not infringe third-party intellectual property rights or violate any applicable laws.

7.3 AI Training and Data Usage

Your prompts and AI-generated content will be sent to OpenAI's servers for processing. OpenAI's Privacy Policy governs how they handle this data. RudiPost does not use your AI-generated content to train our own models without your explicit consent.

7.4 Disclaimers

You acknowledge that:

• AI-generated content may contain errors, biases, or inappropriate material
• RudiPost provides no warranty regarding the quality or appropriateness of AI-generated content
• You are solely responsible for the legality and appropriateness of content you generate and post
• RudiPost may refuse to generate content that violates our Acceptable Use Policy

8. User Obligations and Prohibited Uses

8.1 General Obligations

You agree to use RudiPost in compliance with all applicable laws and regulations, including data protection laws, advertising regulations, and platform-specific policies. You agree to:

• Use the Service only for lawful purposes
• Not violate the rights of others
• Not engage in any conduct that restricts or inhibits any person's use of RudiPost
• Obtain all necessary rights and licenses before posting content

8.2 Prohibited Uses

You agree not to use RudiPost to:

• Generate, create, or post content that is illegal, defamatory, harassing, abusive, or hateful
• Generate or post content that infringes intellectual property rights (copyrights, trademarks, patents)
• Generate or post misinformation, disinformation, or spam
• Generate content impersonating another person or organization
• Generate content for illegal goods, services, or activities
• Use the Service to conduct surveillance, hacking, or unauthorized access
• Attempt to gain unauthorized access to RudiPost's systems or user data
• Reverse engineer, decompile, or attempt to discover RudiPost's source code
• Scrape data from RudiPost without authorization
• Use the Service to compete with or harm RudiPost or its users
• Generate sexual, violent, or exploitative content involving minors
• Violate the terms of any connected Social Media Platform
• Use automated scripts or bots to access RudiPost (except those authorized by RudiPost)

8.3 Content Moderation

RudiPost reserves the right to refuse to generate, display, or post any content that violates these Terms or applicable laws. We may remove content at our discretion without prior notice if it violates these Terms.

8.4 Notification of Violations

If you discover that content on RudiPost violates these Terms or applicable laws, please report it to hello@rudipost.com with details and evidence.

9. Intellectual Property Rights

9.1 RudiPost IP

All content, features, and functionality of RudiPost (including the website design, user interface, code, and documentation) are the exclusive property of The WILD Axis Group and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use RudiPost solely for your personal or business use in accordance with these Terms. You may not:

• Reproduce, distribute, or display any content from RudiPost
• Create derivative works based on RudiPost
• Transfer, license, or otherwise encumber your rights to RudiPost

9.2 User-Generated Content

You retain ownership of prompts, input data, and preferences you provide ("User Input"). By providing User Input, you grant RudiPost a worldwide, royalty-free license to use this data to provide and improve the Service.

9.3 AI-Generated Content Ownership

AI-generated content created through RudiPost is owned by you, subject to OpenAI's terms. You grant RudiPost a license to display, store, and process this content as necessary to provide the Service.

9.4 Trademark

"RudiPost" and related logos are trademarks of The WILD Axis Group. You may not use these trademarks without our prior written consent.

10. Payment and Billing

10.1 Pricing

RudiPost currently offers a free tier. When paid tiers are introduced, pricing and billing terms will be clearly displayed and provided separately. You will be required to explicitly accept any paid service terms before enrollment.

10.2 Free Tier Limitations

The free tier of RudiPost is provided on an "as-is" basis with no warranties or SLA guarantees. We reserve the right to modify or discontinue the free tier at any time with 30 days' notice.

10.3 Billing (For Future Paid Tiers)

For any paid services, you agree to:

• Provide accurate billing information
• Maintain current payment methods
• Pay all invoices in full and on time
• Immediately notify us of any billing discrepancies

Billing terms for paid tiers will specify refund policies, billing cycles, and renewal terms.

10.4 No Refunds for Free Tier Discontinuation

If we discontinue the free tier, no refunds or compensation will be provided. Registered users will be given reasonable advance notice.

11. Termination

11.1 Termination by RudiPost

We may suspend or terminate your account immediately without notice if you:

• Violate these Terms
• Violate any applicable laws or regulations
• Engage in fraudulent or malicious activity
• Harm or threaten to harm other users or RudiPost
• Generate or post illegal content

For less severe violations, we will provide 30 days' written notice before termination, allowing you the opportunity to remedy the violation.

11.2 Effect of Termination

Upon termination:

• Your account and associated data will be deactivated
• Your OAuth tokens will be revoked
• You lose all rights to use RudiPost
• Previously posted content will remain on connected Social Media Accounts
• We will delete your Personal Data within 30 days, except where legal retention is required

11.3 Survival

Sections regarding Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, and Governing Law will survive termination of these Terms.

12. Disclaimers and Warranties

12.1 AS-IS BASIS

RudiPost is provided on an "AS-IS" and "AS-AVAILABLE" basis. We make no warranties, express or implied, regarding the Service, including any warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy or completeness of information
• Uninterrupted or error-free operation

12.2 AI Content Disclaimer

You acknowledge that AI-generated content may:

• Contain errors, biases, or inaccuracies
• Be inappropriate for your intended audience
• Inadvertently infringe third-party rights

RudiPost provides no warranty regarding the quality, appropriateness, or legality of AI-generated content.

12.3 Third-Party Services

RudiPost relies on third-party services including OpenAI and Social Media Platforms. We are not responsible for:

• Any service disruptions from these third parties
• Changes to their APIs or services
• Their violation of your privacy or intellectual property
• Any damages resulting from their actions

12.4 Disclaimer of Consequential Damages

To the fullest extent permitted by law, in no event shall RudiPost be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, even if advised of the possibility of such damages.

13. Limitation of Liability

13.1 Liability Cap

Except where prohibited by law, RudiPost's total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the total amount you have paid to RudiPost in the 12 months preceding the claim, or £100 GBP if you have not paid anything.

13.2 Exceptions

This limitation does not apply to:

• Personal injury or death caused by our gross negligence or willful misconduct
• Fraud or fraudulent misrepresentation
• Liability that cannot be limited under applicable law
• Breach of confidentiality obligations

13.3 User Responsibility

You are solely responsible for:

• Reviewing all AI-generated content before posting
• Ensuring content complies with all applicable laws and Social Media Platform policies
• Backing up your own data and content
• Monitoring your account for unauthorized access

14. Indemnification

You agree to indemnify, defend, and hold harmless RudiPost, The WILD Axis Group, and their officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use of the Service in violation of these Terms
• Content you generate or post through the Service
• Your violation of any applicable laws or regulations
• Your infringement of third-party intellectual property rights
• Your violation of the terms of any connected Social Media Platform
• Any harmful, defamatory, or illegal content you create

This indemnification obligation survives termination of these Terms.

15. Third-Party Services

15.1 Third-Party Providers

RudiPost integrates with and relies on third-party services, including but not limited to:

• OpenAI: Provides AI models for image and text generation
• TikTok, Instagram, LinkedIn, Facebook: Social Media Platforms for content posting
• Cloud Infrastructure Providers: For hosting and data storage

15.2 No Control or Endorsement

RudiPost does not control third-party services and is not responsible for:

• Their terms of service, privacy practices, or policies
• Changes they make to their APIs or services
• Service disruptions or unavailability
• Any violations of your rights by these third parties

15.3 Your Responsibility

You are responsible for understanding and complying with the terms of all third-party services you use in connection with RudiPost. You agree to access RudiPost in accordance with their terms and our own.

15.4 Links and External Content

RudiPost may contain links to external websites. We are not responsible for the content, accuracy, or policies of external sites. Access external links at your own risk.

16. Modification of Terms

16.1 Right to Modify

RudiPost reserves the right to modify these Terms at any time. We will provide notice of significant changes by:

• Posting the updated Terms on our website with a new "Last Updated" date
• Sending email notification to your registered email address for material changes

16.2 Acceptance of Changes

Continued use of RudiPost after changes are posted constitutes your acceptance of the modified Terms. If you do not agree with any modifications, you must stop using the Service and terminate your account.

16.3 Notification Timeline

For material changes, we will provide at least 30 days' notice before the new terms become effective, except in cases of legal requirement or security concerns.

17. Governing Law and Jurisdiction

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England & Wales, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.

17.2 Jurisdiction and Venue

You agree that any legal proceedings relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England & Wales. You consent to the personal jurisdiction of these courts and waive any objection to venue.

17.3 Alternative Dispute Resolution

Before pursuing formal litigation, we encourage you to contact us at hello@rudipost.com to attempt informal resolution of any dispute. If informal resolution is unsuccessful, either party may pursue formal legal remedies.
